Terms of Service
These Terms govern use of the SENBEDER website and purchases of motorcycle parts, accessories, samples, wholesale assortments, OEM products, and private-label services.
Overview and Acceptance
This website is operated under the SENBEDER brand. Throughout the site, “SENBEDER,” “we,” “us,” and “our” refer to the website operator and the team supplying the relevant products or services. By visiting the site, submitting an inquiry, requesting a quotation, creating an account, or placing an order, you agree to these Terms and any policies linked here.
If you do not agree, do not use the website or place an order. Mandatory consumer rights under applicable law are not limited by these Terms.
Eligibility, Accounts, and Buyer Information
You must be legally able to enter a binding contract in your jurisdiction. Business buyers confirm that the person placing an order or accepting a quotation is authorized to act for the named company.
You are responsible for providing complete and accurate contact, billing, delivery, tax, customs, motorcycle application, and company information, and for keeping account credentials secure. We may pause an order while inaccurate, incomplete, or high-risk information is reviewed.
Products, Specifications, and Fitment
Product photographs, colors, dimensions, compatibility references, packaging, descriptions, and other website information are provided to support selection. Reasonable differences may occur because of production updates, display settings, measurement methods, supplier changes, or packaging revisions.
Fitment remains a shared confirmation process. Before ordering, the buyer should provide the motorcycle brand, model, year, version, market specification, installation position, voltage, connector, dimensions, and reference images where relevant. Products described as “universal” may still require measurement, wiring, brackets, adapters, or professional installation.
An item is not automatically defective because it does not fit an application that was not disclosed or confirmed. Installation, modification, and use must follow applicable laws, vehicle requirements, product instructions, and competent professional practice.
Retail Orders, Quotations, and Order Acceptance
An order submission or quotation request is an offer to buy and does not guarantee acceptance. We may confirm availability, specifications, payment, shipping, compliance information, or identity before accepting an order. Acceptance occurs when we issue an order confirmation, accept payment, or otherwise confirm the order in writing.
We may reject or limit an order where a product is unavailable, information is inaccurate, a price or content error is identified, payment cannot be verified, the order appears fraudulent, or the requested transaction cannot lawfully or reasonably be fulfilled. If payment has already been collected for an unaccepted order, the relevant amount will be handled through the original payment route where practical.
Wholesale, Distributor, MOQ, and Mixed-SKU Orders
Wholesale and distributor orders may be subject to product-specific minimum order quantities, carton quantities, production schedules, market restrictions, packaging requirements, and credit or payment conditions. Any MOQ displayed on the website is a planning reference unless confirmed in the quotation or order document.
Mixed-SKU orders may be available, but acceptance depends on the selected products, quantities, packaging, production route, and destination. Wholesale prices, distributor programs, and project quotations are confidential to the recipient unless we agree otherwise in writing.
Pricing, Taxes, Duties, and Payment
Website prices and quoted prices may differ because of quantity, product configuration, packaging, currency, material cost, freight, or market conditions. The final price, currency, included services, and payment schedule are those stated at checkout or in the accepted order document.
Unless expressly included, prices do not include import duties, customs charges, local taxes, brokerage, bank fees, destination handling, installation, or other third-party costs. The buyer is responsible for these charges where applicable.
Payment must be made through an approved method and according to the agreed schedule. Production, customization, or shipment may not begin until the required deposit or full payment has cleared. Bank charges and exchange-rate differences are borne as stated in the applicable order document or, if not stated, by the party whose bank or payment provider imposes them.
Samples and Pre-production Review
Samples may be available for selected products and projects. Sample price, freight, lead time, specification, and any later credit toward a production order must be confirmed in writing. A sample does not reserve inventory, production capacity, or future pricing.
Where a buyer approves a sample, artwork, specification sheet, rendering, packaging layout, or pre-production unit, that approval becomes the reference for the related production order, subject to reasonable manufacturing tolerances.
OEM, Private Label, Packaging, and Custom Products
OEM, private-label, custom-color, custom-specification, branded, printed, or custom-packaged products require written confirmation of the scope, MOQ, price, artwork, specifications, tolerances, approvals, and production schedule.
The buyer confirms it owns or is authorized to use every logo, trademark, design, instruction, claim, certification mark, and other material supplied for the project. The buyer is responsible for the legality and accuracy of buyer-provided branding, packaging text, translations, compliance statements, and market claims.
Once materials are purchased, artwork or samples are approved, printing begins, or production starts, a custom order may not be cancelled, changed, returned, or refunded except where we agree in writing or where mandatory law requires otherwise. Reasonable production overruns, underruns, and manufacturing tolerances will be handled according to the order-specific agreement.
Order Changes and Cancellation
Contact us promptly if an order must be changed or cancelled. A request is not effective until accepted in writing. We may be unable to change or cancel an order after inventory is allocated, a supplier commitment is made, customization starts, or the order enters packing or shipment.
Approved changes may affect price, MOQ, delivery planning, freight, and production timing. The buyer is responsible for non-recoverable material, labor, tooling, printing, payment, and logistics costs caused by an approved change or cancellation, unless otherwise agreed.
Shipping, Delivery, Customs, and Risk
Shipping method, freight terms, delivery destination, export documents, insurance, risk transfer, and any applicable Incoterm should be stated in the checkout information or order document. Delivery dates are estimates unless expressly guaranteed in writing.
The buyer must provide a deliverable address and accurate consignee, telephone, tax, customs, and import information. Delays caused by carriers, customs, inspections, import restrictions, remote-area delivery, missing information, or events outside our reasonable control do not automatically constitute a breach.
Risk of loss and responsibility for transport claims pass according to the agreed shipping term. Where no shipping term is stated, risk transfers when the goods are handed to the carrier, to the extent permitted by applicable law. See our Shipping & Returns page for the current support process.
Inspection, Shortage, Damage, and Claims
Inspect delivered goods promptly. Keep the outer carton, labels, inner packaging, and affected products while a claim is reviewed. A claim should include the order number, SKU, affected quantity, carton information, a clear description, and dated photographs or video showing the product, packaging, and issue.
For apparent freight damage or carton shortage, note the issue with the carrier at delivery where possible. Do not install, modify, resell, or discard products that are under claim review unless we authorize it. Support may be limited if evidence is unavailable or the product has been altered in a way that prevents verification.
Returns and Refunds
Return eligibility depends on the order type, product condition, issue evidence, destination, and written agreement. Contact us before returning anything. Unauthorized returns may be refused and should not be sent to an office or production address without return instructions.
Unless required by law or agreed otherwise, custom-made, branded, printed, used, installed, modified, damaged-after-delivery, clearance, and non-resalable products are not eligible for return. Approved refunds may exclude original freight, return freight, duties, taxes, payment fees, and non-recoverable project costs. Review the current Refund Policy and Shipping & Returns page.
Warranty and After-sales Support
Warranty scope, duration, remedy, exclusions, and claim procedure may vary by product and project and are governed by the applicable product information or order document. If no separate written warranty applies, support is assessed from the documented issue, order record, product condition, and applicable law.
Warranty does not normally cover incorrect fitment, improper installation, unauthorized alteration, incompatible voltage or wiring, misuse, accident, external damage, normal wear, corrosion caused by use conditions, or failure to follow product instructions. Remedies may include technical guidance, replacement, repair, account credit, partial refund, or another reasonable solution, depending on the verified issue. See Warranty & After-sales.
Intellectual Property
The SENBEDER name, website design, product photographs, graphics, catalogs, text, videos, logos, and other site content are owned by or licensed to us and may not be copied, republished, sold, scraped, or commercially exploited without permission, except as allowed by law.
Purchasing a product does not transfer intellectual property rights in the product design, tooling, website content, or SENBEDER branding. For custom projects, ownership and permitted use of buyer-supplied materials, newly created artwork, molds, tooling, and technical files must be stated in the project agreement.
Prohibited Use
You may not use the website or products to violate law, infringe intellectual property, misrepresent product origin or certification, transmit malicious code, collect data without authorization, interfere with site security, place fraudulent orders, evade trade restrictions, or harm another person or business.
We may suspend access, cancel an unfulfilled order, or report activity where reasonably necessary to protect users, the website, payment systems, intellectual property, or legal compliance.
Third-party Tools, Services, and Links
The website may use or link to third-party payment providers, carriers, translation tools, maps, analytics, social platforms, marketplaces, or other services. Those services may have their own terms and privacy practices. We are not responsible for third-party content, availability, or independent acts, except to the extent required by law.
Disclaimer of Warranties
To the maximum extent permitted by law, the website and general website content are provided on an “as available” basis. We do not guarantee uninterrupted access, error-free content, or that general product information will satisfy every local regulation, motorcycle application, or business purpose.
Specific product warranties, written specifications, and mandatory legal warranties are not excluded by this section.
Limitation of Liability and Indemnification
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, exemplary, or consequential loss, including lost profit, lost opportunity, business interruption, or loss of data, arising from the website or an order.
Where liability cannot be excluded, our aggregate liability relating to an affected order will not exceed the amount paid to us for the affected products or services, except where applicable law requires a different result. Nothing excludes liability that cannot legally be excluded or limited.
You agree to be responsible for claims and costs caused by your unlawful use of the website, infringement by buyer-supplied materials, inaccurate compliance or branding instructions, unauthorized product claims, or breach of these Terms, to the extent permitted by law.
Events Outside Reasonable Control
Neither party is responsible for delay or failure caused by events outside its reasonable control, including natural disasters, epidemic or public-health restrictions, war, civil disturbance, labor disruption, power or network failure, government action, trade restriction, material shortage, carrier disruption, port congestion, or customs delay.
The affected party should provide reasonable notice and try to reduce the impact. Payment obligations for goods or services already supplied are not excused.
Termination, Severability, and Entire Agreement
We may suspend or terminate website access for a material breach, unlawful use, fraud, or security risk. Provisions that by their nature should survive termination—including payment, intellectual property, disclaimers, liability, and dispute terms—remain effective.
If a provision is held invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions continue. A failure to enforce a provision is not a waiver. These Terms, linked policies, and accepted order-specific documents form the agreement for the relevant transaction.
Governing Terms and Dispute Resolution
Any governing-law, forum, arbitration, or dispute clause stated in an accepted quotation, proforma invoice, sales contract, marketplace order, or other written transaction document controls that order.
If no order-specific clause applies, the parties should first attempt to resolve the dispute through good-faith negotiation. Governing law and jurisdiction will then be determined under applicable mandatory rules, including any consumer protections that cannot be waived. Nothing prevents either party from seeking urgent relief to protect intellectual property, confidential information, safety, or legal rights.
Changes to These Terms
We may update these Terms to reflect changes in the website, products, order process, policies, or applicable requirements. The current version and effective date will be posted on this page. Material changes apply prospectively unless law or an agreed order document requires otherwise.
